We provide our content, products, and services to you on this Site subject to the Terms of Service (the “Terms") the Site. The Terms of Service is a contract between you ("you”, “NGOs”, “Users") and We Flap and governs all transactions between you and We Flap, as well as your use of the Site and all We Flap Services.

The Terms below supersede any previous Terms to which you and We Flap may have been bound. These Terms may be modified by We Flap in its sole discretion from time to time and such modifications will become part of these Terms and will be effective once posted on the Site. Your participation and use of the Site will be subject to any such modifications. You should review the Site and these Terms from time to time for any modifications.

1. COPYRIGHTS. All content on the Site and/or on e-mails distributed to you from We Flap, including text, graphics, designs, logos, pictures, video, information software, music, sound, button icons and other files, and the selection and arrangement of such content (the “Site Content”) is the exclusive property of We Flap or its licensors and is protected by U.S. and international copyright laws. All rights not expressly granted are reserved. No Site Content may be modified, copied, distributed, framed, reproduced, republished, downloaded, displayed, posted, transmitted, or sold in any form or by any means, in whole or in part, without We Flap’s prior written permission, except that the foregoing does not apply to your own User Content (as defined below) that you legally post on the Site. Provided that you are eligible for use of the Site, you are granted a limited license to access and use the Site and to download or print a copy of any portion of the Site Content solely for your personal, non-commercial use, provided that you keep all copyright or other proprietary notices intact. The trademarks, service marks, designs, and logos (collectively, the “Trademarks") displayed on this Site and/or on e-mails sent to you are the registered and unregistered Trademarks of We Flap and of We Flap’s licensors. 3. USE OF THE SITE. You understand the Site is available for your personal, non-commercial use only. You represent, warrant and agree that no materials of any kind submitted through your account or otherwise posted or shared by you through the Site will violate or infringe upon the rights of any third party, including copyright, trademark, privacy, publicity or other personal or proprietary rights; or contain libelous, defamatory or otherwise unlawful material. You further agree not to harvest or collect email addresses or other contact information of Users from the Site by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications. Additionally, you agree not to use automated scripts to collect information from the Site or for any other purpose. You understand that you should take all information posted on We Flap by other users and Non Governmental Organizations (NGOs) on the Site as individual and subjective opinions, and not of We Flap. You further agree that you may not use the Site in any unlawful manner or in any other manner that could damage, disable, overburden or impair the Site. You further understand that We Flap reserves the right to remove information posted by users or NGOs for any reason. In addition, you agree not to use the Site to:

• upload, post, transmit, share, store or otherwise make available any content that we deem to be harmful, threatening, unlawful, defamatory, racist, infringing, abusive, inflammatory, harassing, vulgar, obscene, pornographic, fraudulent, invasive of privacy or publicity rights, hateful, or racially, ethnically or otherwise objectionable
• register for more than one User account, register for a User account on behalf of an individual other than yourself, or register for a User account on behalf of any group or entity
• impersonate any person or entity, or falsely state or otherwise misrepresent yourself, your age or your affiliation with any person or entity
• upload, post, transmit, share or otherwise make available any unsolicited or unauthorized advertising, solicitations, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation
• upload, post, transmit, share, store or otherwise make publicly available on the Site any private information of any third party, including, without limitation, addresses, phone numbers, email addresses, Social Security numbers and credit card numbers
• solicit personal information from anyone under 18 or solicit passwords or personally identifying information for commercial or unlawful purposes
• upload, post, transmit, share or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
• intimidate or harass another user
• upload, post, transmit, share, store or otherwise make available content that would constitute, encourage or provide instructions for a criminal offense, violate the rights of any party, or that would otherwise create liability or violate any local, state, national or international law
• use or attempt to use another's account, service or system without authorization from We Flap, or create a false identity on the Site
• upload, post, transmit, share, store or otherwise make available content that, in the sole judgment of We Flap, is objectionable or which restricts or inhibits any other person from using or enjoying the Site, or which may expose We Flap or our Users to any harm or liability of any type

4. USER CONTENT POSTED ON THE SITE. You are solely responsible for the photos, profiles, messages, notes, text, information, music, video, advertisements and other content that you upload, publish or display (hereinafter, "post") on or through the Site, or transmit to or share with other Users (collectively the "User Content"). You understand and agree that We Flap may, but is not obligated to, review and delete or remove (without notice) any User Content in its sole discretion, including without limitation User Content that in the sole judgment of We Flap, violate this Agreement or which might be offensive, illegal, or that might violate the rights, harm, or threaten the safety of Users or others.

By posting User Content to any part of the Site, you automatically grant, and you represent and warrant that you have the right to grant, to We Flap an irrevocable, perpetual, non-exclusive, transferable, fully paid, worldwide license (with the right to sublicense) to use, copy, publicly perform, publicly display, reformat, translate, excerpt (in whole or in part) and distribute such User Content for any purpose on or in connection with the Site or the promotion thereof, to prepare derivative works of, or incorporate into other works, such User Content, and to grant and authorize sublicenses of the foregoing. You may remove your User Content from the Site at any time. If you choose to remove your User Content, the license granted above will automatically expire.

5. REPEAT INFRINGER POLICY. We Flap can terminate, in appropriate circumstances and at We Flap's sole discretion, members who are deemed to be repeat infringers of these Terms of Service. We Flap may also at its sole discretion limit access to the Site and/or terminate the memberships of any Users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.

6. REGISTRATION DATA AND ACCOUNT SECURITY. In consideration of your use of the Site, you agree to (a) provide accurate, current and complete information about you as may be prompted by any registration forms on the Site ("Registration Data"); (b) maintain the security of your password and identification; (c) maintain and promptly update the Registration Data, and any other information you provide to Company, to keep it accurate, current and complete; and (d) be fully responsible for all use of your account and for any actions that take place using your account.

7. REVIEWS AND OTHER SUBMISSIONS. Users or NGOs who have registered on the Site may vote and post comments on other users, NGOs and other issues of general interest featured on the Site. You agree that any and all information that you submit to the Site, including any and all numerical votes and written comments, is the property of We Flap and may be used by us for any purpose.

8. DISCLAIMERS. YOUR USE OF THIS SITE IS AT YOUR OWN RISK. ALL INFORMATION ON THE SITE AND/OR INCLUDED IN E-MAILS DISTRIBUTED TO YOU BY WE FLAP IS PROVIDED TO YOU “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTY OF NON-INFRINGEMENT OR ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL WE FLAP BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SITE.

9. LIMITATION OF LIABILITY. You understand that any and all decisions made by you on the Site are yours alone. We Flap cannot and does not guarantee the accuracy of information from NGOs or other Users. We Flap shall not be responsible, or have any duty or obligation to, or liability for: (a) decisions or interactions resulting (directly or indirectly) from participation on the Site; or (b) any damages, costs, losses or expenses a User incurs as a result (directly or indirectly) of interacting with NGOs or other Users. In addition, in no event will We Flap be liable to you or any third person for any damages, costs, losses or expenses, including any lost capital, lost profits or special, incidental, consequential or punitive damages arising from your use of the Site or participation in the Site, even if We Flap has been advised of the possibility of such damages, costs, losses or expenses.

10. INDEMNITY. You agree to indemnify and hold We Flap harmless from any loss, liability, claim, or demand, including reasonable attorney's fees, made or incurred by any third party due to or arising (directly or indirectly) out of your use of the Site or participation in the Program or arising from a breach of these Terms.

11. DISPUTES WITH OTHER USERS OR NGOs. You are solely responsible for your interactions with any NGOs, any other User (even to the extent prohibited hereby) or any other organizations that participate in We Flap and any disputes that may result from such interactions. We Flap reserves the right, but has no obligation, to monitor disputes between you and such persons.

13. APPLICABLE LAW. Any dispute arising from these Terms shall be resolved exclusively in the state and federal courts of the State of Texas.

14. MODIFICATION OF TERMS. We reserve the right to modify the Terms at any time, and without prior notice, by posting amended Terms on this Site. Your continued use of We Flap indicates your acceptance of the modified Terms.
